Terms of Service

1. Acceptance of Terms

By accessing or using EventLock (including eventlock.app, go.eventlock.app, the client portal at eventlock.app/clients, and the contractor portal at eventlock.app/contractors), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are using EventLock on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

If you do not agree to these Terms, do not use EventLock.

2. Description of the Service

EventLock is a web-based event-staffing and booking-management platform that allows event and entertainment companies ("Companies") to:

• Create and send booking proposals and contracts to clients and contractors
• Manage client and contractor records and profiles
• Communicate with clients and contractors through booking-specific portals
• Receive contractor acknowledgments, signatures, and acceptances
• Send SMS notifications related to bookings and assignments

EventLock is software. It facilitates scheduling, documentation, and communication between Companies and the people they work with. EventLock is not a party to any transaction, contract, employment arrangement, or payment that occurs between a Company and its clients or contractors.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years old to use EventLock. By using the service, you represent that you meet this requirement. EventLock is not directed to minors and should not be used by anyone under 18.

3.2 Account Registration

To access most features, you must create an account or be invited to one. You agree to provide accurate, current, and complete information and to keep it up to date.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@gromitron.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

3.4 One Account Per User

Account credentials are personal and may not be shared with others. Company accounts may have multiple authorized users, each with their own credentials.

4. Companies, Clients, and Contractors — EventLock's Limited Role

4.1 EventLock Is Software, Not a Party

EventLock provides technology to help Companies manage bookings. EventLock is not a party to any booking, contract, proposal, employment agreement, or other arrangement made between a Company and its clients or contractors.

EventLock is not:

• An employer, staffing agency, or labor broker
• A party to any contract facilitated through the platform
• An escrow service or payment processor
• Responsible for the performance, reliability, conduct, or obligations of any Company, client, or contractor

4.2 Companies Are Responsible for Their Use

Companies are solely responsible for:

• The accuracy and legality of the contracts and proposals they create and send
• Compliance with employment, independent-contractor, and tax laws applicable to their relationships with clients and contractors
• Collecting, verifying, and using contractor tax information appropriately and in compliance with applicable law (including IRS requirements for 1099 reporting, if applicable)
• Obtaining all consents required before sending SMS messages to clients and contractors through the platform
• Any disputes, claims, or liabilities arising from their relationships with clients or contractors

4.3 Clients and Contractors

Clients and contractors access EventLock portals at the direction of a Company. Your primary legal relationship for any booking or work arrangement is with that Company, not with Gromitron Industries LLC.

5. Payments

5.1 Payments Between Companies, Clients, and Contractors

EventLock does not process, hold, or facilitate payments between Companies and their clients or contractors. EventLock does not store payment card numbers or bank account details. All compensation, invoicing, and financial arrangements between a Company and its clients or contractors are handled exclusively between those parties through their own methods and payment providers.

5.2 EventLock Subscription Fees

Companies pay Gromitron Industries LLC a software subscription fee for access to EventLock. Details of subscription pricing, billing cycles, and cancellation terms are provided at the time of subscription and may be updated with advance notice. Subscription fees are separate from and unrelated to any amounts owed between Companies and their clients or contractors.

6. User Content

6.1 Your Content Is Yours

You retain ownership of the content you submit to EventLock, including contracts, proposals, client and contractor records, messages, and other materials ("User Content").

6.2 License to Operate the Service

By submitting User Content, you grant Gromitron Industries LLC a limited, non-exclusive, royalty-free license to store, process, and display your User Content as necessary to operate and provide the service. We do not use your User Content for any purpose beyond operating the service.

6.3 Your Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that:

• You have the right to submit the content
• The content does not violate any law or third-party rights
• Contractor information (including tax data) is collected with the contractor's knowledge and consent as required by law

7. Acceptable Use

You agree not to use EventLock to:

• Violate any applicable law or regulation
• Infringe the intellectual property or privacy rights of others
• Collect or store personal data without appropriate authorization
• Send unauthorized commercial messages, spam, or harassing communications
• Impersonate any person or entity, or misrepresent your affiliation
• Attempt to gain unauthorized access to any account, system, or network
• Reverse-engineer, decompile, or attempt to extract source code from EventLock
• Use the platform to facilitate fraud, illegal contracting arrangements, or tax evasion
• Interfere with the operation of the service or overload our infrastructure
• Use automated tools to scrape or harvest data from the platform without our written consent

We reserve the right to investigate violations and take appropriate action, including suspension or termination of accounts.

8. Intellectual Property

8.1 EventLock Platform

Gromitron Industries LLC owns all rights to the EventLock platform, including its software, design, user interface, trademarks, and all content created by us. These Terms do not transfer any ownership rights to you.

8.2 Feedback

If you submit suggestions or feedback about EventLock, you grant us a royalty-free, irrevocable license to use that feedback without any obligation to you.

9. Third-Party Services

EventLock integrates with third-party services including Google (sign-in), Apple (sign-in), Supabase (infrastructure), and Twilio (SMS). Your use of those services is subject to their respective terms and privacy policies. Gromitron Industries LLC is not responsible for the practices or content of third-party services.

10. Disclaimers

EventLock is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, Gromitron Industries LLC disclaims all warranties, including:

• Merchantability, fitness for a particular purpose, and non-infringement
• That the service will be uninterrupted, error-free, or secure
• That any information on the platform is accurate, complete, or current
• That defects will be corrected

We do not provide legal, tax, employment, financial, or professional advice. Nothing in EventLock constitutes legal advice on the validity or enforceability of any contract created through the platform. You should consult appropriate professionals.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Gromitron Industries LLC and its officers, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from disputes between Companies, clients, and contractors
• Damages resulting from unauthorized access to or alteration of your account or data
• Any amounts exceeding the total fees paid by you to EventLock in the twelve (12) months preceding the claim

Some jurisdictions do not allow limitation of liability for certain damages, so the above may not apply to you in full.

12. Indemnification

You agree to indemnify, defend, and hold harmless Gromitron Industries LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of EventLock
• Your User Content
• Your violation of these Terms
• Your violation of any law or the rights of a third party
• Any dispute between you and a client, contractor, or other party arising from your use of the platform

13. Suspension and Termination

13.1 Termination by You

You may stop using EventLock at any time. Company subscribers may cancel their subscription according to the billing terms in place at the time of subscription.

13.2 Termination by Us

We may suspend or terminate your access to EventLock at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or if required to do so by law.

13.3 Effect of Termination

Upon termination, your right to use EventLock ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, disclaimers, and limitation of liability) will continue to apply.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

Any dispute arising from or relating to these Terms or your use of EventLock that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Florida. You consent to the personal jurisdiction of those courts.

Informal Resolution First: Before filing any legal claim, you agree to contact us at info@gromitron.com and allow 30 days for good-faith resolution.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top. For material changes, we will notify Company account holders via email or in-app notice. Continued use of EventLock after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Gromitron Industries LLC regarding EventLock and supersede any prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
• No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights freely.
